消滅会社の株主に自社の株式を割り当てたりするのが面倒だから、あらかじめ償却したかったんだろう。実質自社株買いみたいなものだ。

仮定法は動詞を過去形や現在形（原形）といった「形」にして表すもので（「仮定形」…ただし英語には仮定法専用の「形」が存在しない）、shouldなどで代用する書き換えはそういう助動詞shouldの特別な用法であって厳密な意味での「仮定法」ではない。
